Referral Agreement (\"Agreement\") is made effective as of [Date], by and between [Your Company Name], (\"Company\"), located at [Your Address], and [Referrer Name] (\"Referrer\"), located at Purpose<\/span><\/b><span class=\"font\">\u00a0The Company desires to obtain referrals of prospective business sellers from the Referrer, and the Referrer agrees to refer potential sellers to the Company under the terms set forth in this Agreement.<\/span><\/p>\n<p><b><span class=\"font\">2. Definitions<\/span><\/b><span class=\"font\">\u00a0\"Referral\" means a business owner who is not already in the Company's database and who has been referred by the Referrer for the purpose of selling their business.<\/span><\/p>\n<p><b><span class=\"font\">3. Referral Fees<\/span><\/b><span class=\"font\"> The Company agrees to pay the Referrer a referral fee of 3% of the\u00a0 commission received by the Company from the sale of a business referred by the Referrer. The referral fee is payable within 30 days of receipt of the commission by the Company.<\/span><\/p>\n<p><b><span class=\"font\">4. Term of Agreement<\/span><\/b><span class=\"font\">\u00a0This Agreement shall commence on the above effective date and shall continue in full force and effect until terminated by either party upon not less than 30 days written notice.<\/span><\/p>\n<p><b><span class=\"font\">5. Responsibilities of the Referrer<\/span><\/b><\/p>\n<ul>\n<li><span class=\"font\">The Referrer shall ensure that any referrals have consented to share their information with the Company.<\/span><\/li>\n<li><span class=\"font\">The Referrer will provide the Company with the contact details of the referred business owner along with sufficient information to identify the potential business opportunity.<\/span><\/li>\n<\/ul>\n<p><b><span class=\"font\">6. Confidentiality<\/span><\/b><span class=\"font\">\u00a0Each party agrees to keep all information including the terms of this Agreement, business opportunities, pricing, and commission structures confidential and not to disclose them to any third party without the prior written consent of the other party.<\/span><\/p>\n<p><b><span class=\"font\">7. Independent Contractor<\/span><\/b><span class=\"font\">\u00a0The Referrer is an independent contractor and not an employee of the Company. Nothing in this Agreement shall be interpreted as creating an employer-employee relationship.<\/span><\/p>\n<p><b><span class=\"font\">8. General Provisions<\/span><\/b><\/p>\n<ul>\n<li><b><span class=\"font\">Governing Law<\/span><\/b><span class=\"font\">: This Agreement shall be governed by and construed in accordance with the laws of NSW Australia.<\/span><\/li>\n<li><b><span class=\"font\">Entire Agreement<\/span><\/b><span class=\"font\">: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, whether written or oral, relating to such subject matter.<\/span><\/li>\n<\/ul>\n<p><b><span class=\"font\">9.
